Terms of Service
Effective date:
These Terms govern access to and use of Wuvr, operated by Clan Labs Ltd, registered in England and Wales under company number 16356274, with its registered office at 20 Wenlock Road, London, N1 7GU, United Kingdom (“Wuvr”, “we”, “us” or “our”).
“You” means the business or other organisation subscribing to Wuvr, or an individual using it for their business. If you accept these Terms for an organisation, you confirm that you have authority to bind it.
You accept these Terms through the acceptance process presented when you sign up or place an order. If you do not agree, do not create an account or subscribe. Wuvr is offered for business use to users aged 18 or over.
1. What Wuvr provides
Wuvr provides AI search analytics, competitive insights and recommendations to help businesses build their visibility in AI search. Available features include monitoring, reporting, planning, content drafting and integrations, as specified in your plan or order.
Your selected plan or agreed order describes the included features, limits, billing period and price. You may use Wuvr within those limits for your business and, where your plan permits, for clients you are authorised to represent. You may share your reports with those clients. Reselling platform access requires our written agreement.
An order signed by both parties takes priority over these Terms where it expressly addresses the same matter. An applicable data processing agreement takes priority for the processing of personal information. Our Privacy Policy explains our handling of personal information; accepting these Terms is not blanket consent to optional data uses.
2. Accounts and access
Provide accurate account and billing information and keep it up to date. Each person must use their own account and protect their credentials. Tell us promptly at product@wuvr.ai if you suspect unauthorised access.
You are responsible for managing invitations, roles and project permissions, and for ensuring that your authorised users follow these Terms. This does not make you responsible for unauthorised activity caused by our breach of our obligations.
Organisation owners and administrators may manage access and billing on the organisation’s behalf. If you use Wuvr for a client, you must have the authority and permissions necessary to provide its information and carry out the requested work.
3. Subscriptions, trials and payment
Subscriptions renew automatically for the billing period you select unless cancelled before renewal. The applicable price, currency, billing period and any additional charges are shown when you subscribe. Taxes will be identified and charged where applicable.
If you choose a trial that requires a payment method, it converts to a paid subscription at the end of the trial unless you cancel beforehand. The trial length, first charge date and subscription amount are shown during signup or checkout. Cancel through Billing before the trial ends to avoid the first subscription charge.
Trials are subject to the eligibility conditions disclosed when offered. You must not create accounts or use payment methods to bypass those conditions.
Payments are processed by Stripe. You authorise the recurring charges you agree to at checkout. If payment fails, we may restrict paid features after notifying you and giving a reasonable opportunity to resolve the failure.
Plan changes and add-ons may affect your price and usage limits. Any immediate charge, credit or change to the billing period must be disclosed when you make the change.
You may cancel renewal through Billing. Cancellation normally takes effect at the end of the current paid period, and you retain the paid service until then. Afterwards, collection stops; saved information remains subject to our retention policy. Cancellation is not a request to delete your account or information.
Except where required by law, agreed in your order or expressly stated in these Terms, fees already paid are non-refundable and we do not provide refunds for a partly used billing period. This does not remove remedies for our breach of contract.
We will give at least 30 days’ notice of a subscription price increase. It will apply no earlier than your next renewal after that notice period, allowing you to cancel before the new price applies.
4. Your information and content
You retain your rights in the information and materials you provide, including business facts, prompts, website content, notes and edits (“Customer Content”). You confirm that you have the rights and lawful basis needed to provide that content and allow us to process it for the service.
You give us permission to host, copy, transmit, analyse and otherwise process Customer Content to provide the features you use, maintain and secure the service, and meet our obligations to you. We may use service providers for those purposes. This permission does not transfer ownership of your content to us or grant an unrestricted right to publish it.
Do not put passwords, payment card details, special-category personal data or private customer records into monitoring prompts. Those prompts are sent to external AI services and should be suitable for a public-facing business question. Only provide other personal information where necessary and where you have the appropriate authority.
5. Your reports, recommendations and content
Wuvr analyses AI answers and their sources to help you understand your brand’s visibility, identify opportunities and plan your next steps. You can use and export your reports for your business and authorised client work, and edit and publish the drafts created for you.
Reports measure observed visibility across the prompts, platforms, markets and periods you track. External AI platforms control their own responses and rankings, which can vary between users and over time. Wuvr does not guarantee a particular ranking or commercial outcome.
You retain final editorial control over content created for your business, including approval of factual claims, permissions and suitability before publication or use.
Original drafts created for you are yours to use, edit and publish. We assign to you any intellectual property rights we hold in those drafts. Third-party answers and source materials, and Wuvr’s software and templates, remain subject to their respective owners’ rights. You are responsible for obtaining any permissions needed for third-party material you publish.
6. Acceptable use
You must not:
- Use Wuvr for unlawful, fraudulent, harassing or infringing activity.
- Access another organisation’s information without permission, share credentials or bypass access controls or plan limits.
- Upload malicious code, disrupt the service or extract information through unauthorised automated access.
- Reverse engineer the service except where the law permits it despite this restriction.
- Resell access or reproduce substantial parts of the platform without permission.
- Send unlawful or unsolicited communications through connected features, or publish material you lack the right to use.
You must follow applicable laws and the relevant conditions for third-party services you connect.
7. External services and integrations
Wuvr connects with external AI platforms and other services. We may update an integration or affected feature to reflect changes in a provider’s functionality, availability or terms, subject to the protections in section 10.
When you enable an integration, you authorise the exchange of information needed for its configured purpose. You are responsible for selecting appropriate recipients and checking their access. Disconnecting an integration does not recall information already delivered to it.
We remain responsible for providing Wuvr with reasonable skill and care, including the parts of an integration within our control.
8. Confidentiality and data protection
Each party will protect the other’s confidential information with reasonable care, use it only for the relationship described in these Terms, and disclose it only to people or providers who need it and are subject to appropriate confidentiality obligations.
These duties do not apply to information that is public through no breach, independently developed, lawfully received without restriction or already lawfully known. A party may disclose information where legally required, giving notice where legally permitted.
Our handling of personal information, including processing by service providers, is described in our Privacy Policy and any applicable data processing agreement.
Each party will comply with data protection law applicable to its role. Where we process personal information on your behalf, the applicable data processing agreement governs that processing.
9. Our intellectual property
We and our licensors retain rights in Wuvr’s software, design, documentation, methods and branding. Your subscription gives you permission to use the service under these Terms, not ownership of the platform.
You may choose to give us feedback. We may use it to improve Wuvr without payment, but this does not give us permission to disclose your confidential information or use your name or logo in marketing without your agreement.
10. Availability and changes
We will provide Wuvr with reasonable skill and care. Service availability is subject to maintenance and operational interruptions. Any specific uptime or support response commitments will be set out in your order or a separate service-level agreement.
We may improve or change features. If we materially reduce the core functionality of a paid subscription, we will notify you. If we cannot provide a reasonable alternative, you may end the affected subscription and receive a proportionate refund of prepaid fees for the unused period.
Features identified as beta or experimental are offered for evaluation and may change or be withdrawn.
11. Suspension and termination
We may restrict access where reasonably necessary to address a security threat, unlawful use, a material breach of these Terms or unpaid fees. We will normally explain the reason and provide an opportunity to resolve it, unless immediate action is necessary or notice is prohibited by law. Any restriction should be proportionate to the issue.
Either party may terminate for a material breach that is not remedied within 30 days of written notice, or immediately if it cannot reasonably be remedied. We may discontinue the service on at least 30 days’ notice.
If we discontinue a paid service, or you terminate because of our unremedied material breach, we will refund prepaid fees for the unused affected period. Termination does not remove fees properly incurred before it takes effect.
Before access ends, use the available export features or contact product@wuvr.ai about retrieving your information. Data retention and deletion are governed by our Privacy Policy and any applicable data processing agreement.
Provisions intended to continue after termination, including confidentiality, accrued payments, intellectual property, liability and dispute provisions, survive termination.
12. Liability
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
Subject to that paragraph, neither party is liable to the other for indirect or consequential loss, or for lost profits, revenue, anticipated savings or business opportunities arising from these Terms.
Subject to the same paragraph, each party’s total aggregate liability arising from or relating to these Terms is limited to the greater of £1,000 and the fees paid or payable by you for Wuvr in the 12 months before the event giving rise to the claim. Your obligation to pay agreed subscription fees is not limited by this cap.
These limits do not restrict an individual’s rights under applicable data protection law.
13. Updates to these Terms
We may update these Terms as Wuvr changes. We will notify you of a material change at least 30 days before it takes effect. If you do not agree, you may cancel before the effective date; where a material change takes effect during a prepaid period and materially disadvantages you, you may terminate and receive a proportionate refund for the unused period.
Changes needed to comply with law or address an urgent security issue may take effect sooner. We will explain those changes as soon as reasonably possible. Changes do not apply retrospectively to an existing dispute.
14. General terms and disputes
These Terms and any applicable order and data processing agreement form the agreement between us for Wuvr. If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not waive it. Neither party may transfer the agreement without the other’s consent, except as part of a business reorganisation or sale where the successor assumes its obligations and your rights are not materially reduced.
Neither party is responsible for delay caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the impact. This does not excuse fees already due or remove any express refund right under these Terms.
The laws of England and Wales govern these Terms, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory legal rights that cannot be overridden by agreement.
Please contact product@wuvr.ai first if a dispute arises so we can try to resolve it. This does not prevent either party seeking urgent relief or exercising a legal right.
